Terms of Service — InLancingAI

These Terms of Service ("Terms") constitute a legally binding agreement between you and InLancingAI, Inc. ("InLancingAI"). By creating an account or using the platform, you agree to be bound by these Terms.

1. The Platform

InLancingAI is an AI-powered marketplace connecting clients with freelance professionals. We provide tools for job posting, proposals, contracts, payments, and dispute resolution. InLancingAI is a platform — we are not a party to contracts between clients and freelancers, and we are not an employer of any freelancer.

2. Eligibility

You must be at least 18 years old
You must have the legal capacity to enter into binding contracts
You must not be prohibited from using the service under applicable law
Businesses must have proper authority to bind their organisation

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it updated. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Client Obligations

Post accurate, complete job descriptions
Fund milestone escrow before work begins on that milestone
Review and respond to submitted work within 7 days
Release funds promptly upon satisfactory delivery
Not circumvent the platform to hire freelancers discovered on InLancingAI for 12 months

5. Freelancer Obligations

Provide accurate skills, experience, and portfolio information
Deliver work that meets agreed specifications and quality gates
Communicate proactively about delays or scope issues
Not submit work created entirely by AI without client disclosure
Not solicit clients away from the platform for 12 months

6. Payments & Fees

Platform fee: InLancingAI charges an 8% fee on all payments made through the platform, deducted from the freelancer's payout.
Escrow: Client payments are held in escrow until milestone approval. InLancingAI does not hold funds — Stripe holds them on our behalf.
Refunds: Refunds are handled through our dispute resolution process. InLancingAI fees are non-refundable once work has commenced.
Taxes: You are responsible for all applicable taxes on your earnings or payments. InLancingAI may issue tax forms as required by law.

7. Dispute Resolution

InLancingAI provides AI-assisted dispute resolution as a first step. If AI resolution is insufficient, human review is available. Our process:

Either party may open a dispute within 30 days of milestone submission
AI arbitrator reviews contract terms, messages, and deliverables
AI ruling is binding if both parties accept within 72 hours
Either party may escalate to human review (additional 5–10 business days)
InLancingAI's final ruling is binding and determines fund release

8. AI Features

InLancingAI uses artificial intelligence to assist with brief generation, talent matching, proposal writing, and dispute resolution. AI outputs are suggestions only. You acknowledge that AI can make errors and that you are responsible for reviewing AI-generated content before acting on it. We do not warrant the accuracy of any AI output.

9. Prohibited Conduct

Posting false, misleading, or fraudulent content
Harassing, threatening, or abusing other users
Circumventing platform payments or fees
Attempting to manipulate reviews or ratings
Using the platform for illegal activities
Scraping, crawling, or automated access without permission
Impersonating another person or entity

10. Intellectual Property

Upon full payment, the client receives all intellectual property rights to deliverables unless the contract specifies otherwise. Freelancers retain rights to pre-existing tools, frameworks, and libraries incorporated into deliverables. InLancingAI retains all rights to the platform itself.

11. Limitation of Liability

To the maximum extent permitted by law, InLancingAI's total liability for any claim arising from these Terms or your use of the platform is limited to the greater of (a) the fees paid to InLancingAI in the 3 months preceding the claim, or (b) $100. InLancingAI is not liable for indirect, incidental, consequential, or punitive damages.

12. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant uninterrupted availability, freedom from errors, or that the platform meets your specific requirements.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Disputes not resolved through our internal process shall be submitted to binding arbitration under AAA rules in Delaware.

14. Changes to Terms

We may modify these Terms with 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
